1. Agreement to Terms
These Terms of Use (“Terms”) are a legally binding contract between you (“you” or “User”)—whether a school, district, guardian, student age 13 or older, or other visitor—and TurtlEd LLC (“TurtlEd,” “Company,” “we,” “us,” or “our”) covering your access to and use of the TurtlEd website (www.withturtled.com) and any related sub-domains, mobile sites, mobile applications, or other online services we operate (collectively, the “Site”).
By visiting or using the Site, you agree to these Terms and to any supplemental terms that appear within the Site or that we otherwise provide to you. If you do not agree, do not use the Site.
We may revise these Terms at any time. When we do, we will update the “Last updated” date above. Continued use of the Site after changes take effect means you accept the revised Terms.
2. Our Service
TurtlEd provides online tutoring services to K–12 students. We typically deliver tutoring under contracts with public, charter, and private schools (“School Partners”). School Partners supply student data—such as full name, grade level, test scores, and guardian contact details—so we can schedule sessions, tailor instruction, and report progress. Guardians may also provide personal information of their students directly with TurtlEd. Our collection, use, and disclosure of personal information are described in our Privacy Policy.
3. Eligibility & User Accounts
- Age & Authority. You must be at least 13 years old—or have verifiable parent/guardian consent. If you are acting on behalf of a School Partner, you represent that you have authority to bind that organization and to provide student data in compliance with FERPA, COPPA, and all other applicable laws.
- Accurate Information. You agree to provide accurate, current information and to keep it updated.
4. Intellectual Property
The Site, including all code, text, graphics, videos, lesson materials, and the TurtlEd name and logo, are owned by or licensed to TurtlEd and are protected by U.S. and international laws. We grant you a limited, non-exclusive, non-transferable access and use the Site for your personal or School-related, non-commercial purposes. All other rights are reserved.
5. Prohibited Conduct
You agree not to:
- Use the Site in violation of any law, regulation, or school policy.
- Copy, reproduce, distribute, reverse-engineer, or create derivative works from the Site or its content except as expressly permitted.
- Interfere with Site security or functionality, introduce malware, or attempt to gain unauthorized access to systems or data.
- Collect or harvest information from the Site (including student data) for any purpose other than receiving tutoring services from TurtlEd.
- Misrepresent your identity or affiliation.
- Use the Site to harass, threaten, or defame anyone, or to upload content that is obscene, hateful, illegal, or infringes intellectual-property rights.
We may suspend or terminate access for any breach of these Terms.
6. User Content & Feedback
If you submit content or feedback (“Submissions”) to TurtlEd, you grant us a worldwide, perpetual, royalty-free license to use, display, reproduce, modify, and distribute those Submissions for any lawful purpose. You must have all rights necessary to grant this license and your Submissions must not violate anyone’s rights or applicable law. We do not claim ownership of student work products created during tutoring sessions.
7. Privacy & Student Data
Our handling of personal information is governed by the Privacy Policy, which is incorporated by reference. School Partners confirm that (a) they have provided any required notices and obtained all necessary consents to share student data with TurtlEd for educational purposes, and (b) our processing instructions satisfy applicable privacy laws, including FERPA and the California Consumer Privacy Act/CPRA where relevant.
Guardians who enroll students directly acknowledge that we will collect and use their child’s information as described in the Privacy Policy.
8. Service Availability & Changes
We strive to keep the Site available but may suspend, modify, or discontinue any part of the Site at any time without liability. Planned downtime will be scheduled outside peak tutoring hours whenever practicable.
9. Disclaimers
THE SITE AND ALL TUTORING SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, TURTLED DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not guarantee that the Site will be uninterrupted, secure, or error-free, or that use of the Site will improve academic performance.
10. Limitation of Liability
To the fullest extent permitted by law, TurtlEd and its directors, officers, employees, and agents will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, even if advised of the possibility. Our total liability arising out of or relating to the Site or these Terms will not exceed the greater of the fees you paid to TurtlEd for the tutoring services giving rise to the claim.
Some jurisdictions do not allow the exclusion or limitation of certain damages; in such cases our liability is limited to the extent allowed by law.
11. Indemnification
You agree to indemnify and hold harmless TurtlEd and its affiliates from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
- Your use of the Site;
- Your breach of these Terms;
- Your violation of any law or third-party right; or
- Your Submissions.
12. Governing Law; Dispute Resolution
These Terms are governed by the laws of the State of California, without regard to conflicts of law principles. Any dispute will be resolved exclusively in the state or federal courts located in San Mateo County, California, and you consent to their personal jurisdiction.
13. Electronic Communications & Signatures
You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing. You consent to electronic signatures and acknowledge that they are legally binding.
14. Miscellaneous
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force. No waiver by TurtlEd of any breach constitutes a waiver of any other breach. You may not assign your rights or obligations under these Terms without our written consent; we may assign ours. These Terms constitute the entire agreement between you and TurtlEd regarding the Site and supersede all prior agreements or understandings on the same subject matter.
